Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Kate Welham, a sole trader established in the United Kingdom, trading as "Othr" ("Othr", "we", "us", "our"). They govern your access to and use of the Othr website at askothr.com and any related features, applications and services (together, the "Service").

By creating an account, signing in, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms, by our Privacy Policy, our Acceptable Use Policy, our Refund Policy and our Cookie Policy. If you do not agree, you must not use the Service.

1. The Service

Othr is an AI-powered conversational workspace designed for research, writing, productivity and personal thinking. The Service generates responses using industry-leading third-party AI models (such as those from OpenAI), accessed through a secured, enterprise-grade API routing proxy.

We continually evolve the Service: features may be added, removed or changed; AI providers and models may be substituted; usage limits may be adjusted with reasonable notice. We will not materially reduce paid features during a paid period without offering you a refund or a comparable alternative.

2. Eligibility and account

  • You must be at least 18 years old and able to enter a binding contract under the laws of your jurisdiction.
  • If you are using Othr on behalf of an organisation, you confirm that you have authority to bind that organisation; "you" then refers both to you personally and to that organisation.
  • You must provide accurate information when you create your account and keep it up to date.
  • You are responsible for all activity that takes place under your account and for keeping your credentials confidential.
  • You must notify us promptly at contact@askothr.com if you suspect unauthorised access to your account.
  • You may create only one account per person, unless we agree otherwise in writing.

3. Plans and subscriptions

3.1 Free plan

The free plan gives you up to 5 messages per calendar day, full access to the same Othr intelligence as paid users (never a downgraded model) and conversation history across sessions. No payment card is required. Limits may change with reasonable notice.

3.2 Othr Pro — £9.99 / month

  • Unlimited messages, subject to fair-use safeguards designed to protect the service from abuse and runaway automated use.
  • Priority capacity during busy hours.
  • Longer conversation memory and access to deeper workspace tools as they ship.
  • Billed monthly in GBP. Prices are exclusive of any applicable taxes, which are calculated and collected at checkout where required.
  • Subscriptions renew automatically each month until you cancel.

3.3 Price changes

We may change the price of Othr Pro from time to time. If the price changes for an existing subscription, we will give you at least 30 days' notice by email before the change takes effect. You may cancel before the new price applies.

3.4 Cancellation

You may cancel your subscription at any time from your account settings, or by emailing contact@askothr.com. Cancellation stops future renewals; you keep access to Pro features until the end of the current billing period. We do not pro-rate refunds for partial unused months outside the refund window in section 5.

3.5 Suspension or downgrade

If a payment fails, we may downgrade your account to the free plan after a reasonable retry period. We may suspend or terminate paid access if we reasonably believe you are in material breach of these Terms (see section 13).

4. Payments

Payments are processed securely via our integrated third-party payment gateway, Stripe. Stripe handles checkout, card processing and fraud screening on our behalf. Your card details are submitted directly to Stripe and are not stored on Othr's servers. Stripe's handling of your payment data is governed by Stripe's Privacy Policy.

The contract for the sale of Othr Pro is between you and Kate Welham (sole trader, United Kingdom), trading as Othr. We are responsible for billing, invoicing, subscription management, refunds, and any applicable taxes.

You authorise us (via Stripe) to charge your chosen payment method for the applicable subscription fees, including renewals, until you cancel. You are responsible for keeping your payment details accurate and up to date.

5. Refunds and statutory rights

We offer a 30-day money-back guarantee on Othr Pro subscriptions, managed directly by us. If you are not satisfied with your subscription, you can request a full refund within 30 days of your order date by emailing contact@askothr.com. Refunds are returned to your original payment method via Stripe, typically within 5–10 business days.

If you are a UK consumer, you also benefit from the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, which give you a 14-day cancellation right for distance contracts. By starting to use the Service immediately after purchase, you agree that we may begin supplying digital content within that 14-day period, and you acknowledge that you may lose your statutory cancellation right once supply has begun. Our voluntary 30-day money-back guarantee goes beyond this statutory right.

Nothing in these Terms removes or limits your non-excludable statutory rights as a consumer under UK law (including the Consumer Rights Act 2015).

6. What Othr is, and is not

Othr is AI-powered software designed as a thinking, writing and research partner. It is not, and must not be relied upon as, a substitute for a qualified human professional. In particular, Othr is not:

  • Therapy, counselling, psychotherapy or any other form of mental-health treatment.
  • Medical care, diagnosis or medical advice.
  • Legal, financial, tax, investment or insurance advice.
  • A coaching, consulting or human advisory service.
  • An emergency, crisis or suicide-prevention service.

If you are in crisis or need urgent support, please contact your local emergency services or a registered mental-health service. In the UK you can call 999 in an emergency, or contact Samaritans on 116 123 at any time. In the EU, you can call 112. In the US, you can call or text 988.

You acknowledge that Othr is a software tool, that conversations with it are not therapeutic, and that you remain solely responsible for decisions you make based on its outputs.

7. AI outputs, accuracy and your responsibility

  • AI responses are generated probabilistically and may contain inaccuracies, omissions, hallucinations, biased framings or out-of-date information.
  • You must independently verify any output before relying on it for a decision that matters, and especially before relying on it for medical, legal, financial, safety-critical or professional purposes.
  • You are responsible for how you use Othr's outputs, including any onward publication, distribution or commercial use.
  • You must ensure you have all necessary rights, consents and permissions to upload any input content (including documents, images, third-party text and personal data of others).
  • To the extent permitted by law, we make no warranty that AI outputs are accurate, complete, current, fit for a particular purpose or non-infringing.

8. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. In summary, you must not use Othr to:

  • Break the law, infringe rights, or enable others to do so.
  • Harass, threaten, defame, dox or target any person or group.
  • Generate or distribute child sexual abuse material, non-consensual intimate imagery, or content that sexualises minors.
  • Generate content designed to facilitate violence, terrorism, weapons of mass destruction, or the planning of serious crime.
  • Create malware, ransomware, phishing kits, credential stealers or other tools intended to compromise systems or people.
  • Impersonate real people, public officials or organisations in ways designed to deceive.
  • Generate political disinformation, fabricated quotes attributed to real public figures, or election-manipulation content.
  • Reverse engineer, decompile, scrape at scale, or attempt to extract model weights, prompts or training data from the Service.
  • Resell, sublicense or wrap Othr as your own product without our written permission.
  • Use Othr to generate professional advice (medical, legal, financial, psychological) that is presented to third parties as your own qualified advice.
  • Circumvent rate limits, plan limits, safety filters or any access controls.

We may block, restrict or refuse to process any request that we reasonably believe violates this policy, applicable law, or the policies of our upstream AI providers.

9. Your content and licence to operate the Service

You retain ownership of the content you upload to Othr and the conversations you create ("Your Content"). To run the Service, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, process and display Your Content solely to (a) provide the Service to you, (b) generate AI responses, (c) operate, secure and improve the Service, and (d) comply with law. This licence ends when you delete the content or close your account, except for residual copies in routine backups (purged within 30 days) and copies we must retain to meet legal obligations.

We do not use Your Content to train Othr's own models, and we instruct our AI providers not to use Your Content to train their general-purpose models where that option is available.

10. Othr's intellectual property

Othr, its branding, design system, codebase, software, documentation and any aggregated insights derived from anonymised usage are owned by us or our licensors, and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal or internal business purposes during the term of your subscription.

Nothing in these Terms transfers any ownership of our intellectual property to you. All rights not expressly granted are reserved.

11. Third-party services

The Service relies on third-party providers (for example, our database and storage host, Cloudflare, Stripe for payment processing, Resend for email, and upstream AI model providers accessed via a secured API routing proxy). Your use of those providers' features through Othr may also be subject to their own terms and privacy notices. We are not responsible for the acts or omissions of third parties beyond our reasonable control.

12. Beta features

From time to time we may make experimental or beta features available. These features are provided "as is", may change or be withdrawn at any time, and are excluded from any service-level commitments. Feedback you provide about beta features may be used by us without restriction or compensation.

13. Suspension and termination

We may suspend, restrict or terminate your access to the Service if:

  • You materially breach these Terms, our Acceptable Use Policy or applicable law.
  • You fail to pay fees when due.
  • Continued provision would create a security, fraud or legal risk for us, our providers or other users.
  • We are required to do so by law or by an order of a competent authority.
  • We decide to stop offering the Service in your jurisdiction (in which case we will refund any prepaid, unused fees on a pro-rata basis).

You may close your account at any time from your settings. On termination: (a) your right to use the Service ends; (b) you may export your data for a reasonable period before deletion; (c) all clauses intended to survive termination (including Intellectual property, Disclaimers, Liability, Indemnity and Governing law) continue in force.

14. Service availability and no warranty

We will use reasonable efforts to keep the Service available, but we do not warrant that it will be uninterrupted, error-free, free of harmful components, or that any AI output will be accurate, reliable or fit for any specific purpose. To the fullest extent permitted by law, the Service is provided "as is" and "as available", and all implied warranties (including merchantability, satisfactory quality, fitness for a particular purpose and non-infringement) are disclaimed.

15. Limitation of liability

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, and to the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, punitive or consequential losses, lost profits, lost revenue, lost data, lost goodwill, business interruption, or losses arising from your reliance on AI-generated content.
  • Our total aggregate liability arising out of or in connection with the Service, whether in contract, tort (including negligence), under statute or otherwise, is limited to the greater of: (i) the amount you paid us for the Service in the 12 months immediately preceding the event giving rise to the claim, or (ii) £100.

You agree that these limits are reasonable given the nature of the Service, the fees charged, and the availability of independent professional advisers for decisions that materially affect your life, health, finances or business.

16. Indemnity

To the fullest extent permitted by law, you agree to indemnify and hold harmless Othr (and Kate Welham personally) from and against all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) Your Content, (b) your use of AI outputs, (c) your breach of these Terms or our Acceptable Use Policy, or (d) your violation of any law or third-party right. This clause does not apply to UK consumers to the extent it would exceed their statutory obligations.

17. Changes to these Terms

We may update these Terms from time to time. When changes are material, we will notify you by email and in the product at least 14 days before they take effect (or immediately, where required by law or for security reasons). Your continued use of the Service after the effective date means you accept the updated Terms. If you do not accept them, you must stop using the Service and close your account.

18. Notices

We may send you notices by email (to your account email address) or by posting them in the product. You should send formal notices to us at contact@askothr.com with a copy by post to the address in section 22.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, restructuring or sale of all or substantially all of our assets, on reasonable notice.

20. Force majeure

Neither party is liable for failure to perform its obligations to the extent caused by events outside its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, strikes, internet or hosting failures, governmental action, or third-party service outages.

21. Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to resolve any such dispute, except that if you are a consumer resident in another part of the UK or in the EEA, you may also bring proceedings in the courts of your country of residence, and mandatory consumer protections in your home jurisdiction continue to apply.

23. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund Policy and Cookie Policy, are the entire agreement between you and Othr regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
  • No waiver. A failure or delay in enforcing any right is not a waiver of that right.
  • No third-party rights. Except for our affiliates and successors, no person other than you and us has any right to enforce any term of these Terms under the Contracts (Rights of Third Parties) Act 1999.
  • Language. These Terms are concluded in English. Translations are provided for convenience only.
